These Terms of Service (“Agreement”) govern the terms, conditions, and mutual obligations associated with accessing the synapsesoft.studio website, its associated subdomains, marketing materials, and interactive DigiVal® simulators operated by Synapse Soft Software Technologies (“Synapse Soft” or “Company”). By accessing, browsing, testing simulators, or requesting product demos, any natural or legal entity (“User”) unconditionally agrees to be bound by this Agreement.

These legal documents are established by Synapse Soft Software Technologies (“Company”) to govern corporate services, enforce intellectual property protections, and ensure strict regulatory and data privacy standards. They constitute legally binding agreements.

1. Parties, Scope & Binding Acceptance

This Agreement constitutes a legally enforceable contract between the User and Synapse Soft. Accessing or using the platform signifies that you have read, understood, and agreed to all provisions herein. If you do not accept these terms in their entirety, you must immediately cease accessing this website and all associated sandbox simulators. Synapse Soft reserves the right to amend these Terms unilaterally at any time.

2. Proprietary Intellectual Property Rights

All software code, algorithms, architectural blueprints, DigiVal® Validation Management System interfaces, Audit Trail Simulators, RAG Document Q&A tools, designs, typography, brand assets, and patentable inventions on this website are the exclusive intellectual property of Synapse Soft, protected under Law No. 5846 on Intellectual and Artistic Works, the Industrial Property Code No. 6769, and international copyright treaties. No content may be copied, reproduced, republished, or modified without prior written authorization from Synapse Soft.

3. Strict Prohibitions & Enforcement

Users expressly agree and warrant that they shall not engage in any of the following restricted activities:

Prohibition of Reverse Engineering: Decrypting, decompiling, disassembling, or reverse engineering any software component, script, or algorithm powering this platform is strictly forbidden.
Prohibition of Scraping & Automation: Utilizing bots, spiders, crawlers, scrapers, or automated harvesting scripts to capture content, screen captures, or telemetry is strictly prohibited.
Prohibition of Derivative Products: Replicating or utilizing Synapse Soft architectures, interfaces, or concepts to engineer competing validation software, SaaS applications, or commercial offerings constitutes unfair competition and is actionable by law.
System Tampering & Cyber Attacks: Performing unauthorized vulnerability probing, denial-of-service (DoS/DDoS) attempts, SQL/command injection, or network intrusion against our servers or APIs is criminal conduct.
Remedies & Statutory Damages: Synapse Soft will vigorously prosecute any breach through civil litigation and criminal complaints, seeking full compensatory and statutory damages, including lost profits and attorney fees.

4. Simulator & Showcase Disclaimer (Sandbox Disclaimer)

The interactive DigiVal® showcase, MacBook simulations, Protocol Data Entry calculators, OOS limit visualizers, GAP analysis previews, and RAG Q&A simulators are provided SOLELY FOR DEMONSTRATION, INFORMATIONAL, AND PROOF-OF-CONCEPT PURPOSES. Outputs generated by these simulators do not constitute formal validation certificates, statutory compliance certifications, or binding technical guarantees, and must not be utilized for live commercial manufacturing or batch release.

5. Regulatory Compliance Boundaries (GxP Disclaimer)

While the DigiVal platform is engineered to facilitate technical alignment with FDA 21 CFR Part 11, EU GMP Annex 11, and GAMP 5 principles:

Final regulatory compliance, formulation of Standard Operating Procedures (SOPs), system qualification protocols (IQ, OQ, PQ), and audit approvals remain the EXCLUSIVE RESPONSIBILITY of the Customer.
Synapse Soft does not furnish formal regulatory approval or compliance guarantees on behalf of any health agency (FDA, EMA, TİTCK, etc.).
Synapse Soft shall bear no liability for inspection findings, audit observations, regulatory citations, or administrative penalties incurred by the customer.

6. Disclaimer of Warranties (“AS IS” & “AS AVAILABLE”)

This website, all simulators, and related assets are delivered on an “AS IS” and “AS AVAILABLE” basis without warranty of any kind, whether express, statutory, or implied. Synapse Soft disclaims all warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted, error-free, or virus-free operation.

7. Limitation of Liability

To the maximum extent permitted by governing law, Synapse Soft, its shareholders, directors, and personnel shall not be liable for any indirect, incidental, special, punitive, exemplary, or consequential damages, including loss of profits, business interruption, loss of data, reputational injury, or regulatory fines arising from or relating to the use of this website or simulators. In all events, Synapse Soft's aggregate cumulative liability shall be capped at 100 TRY or the actual fee paid by the user to Synapse Soft in the preceding twelve (12) months, whichever is lower.

8. Force Majeure & Right to Modify

Synapse Soft is excused from performance during events beyond its reasonable control, including natural disasters, acts of war, cyber terrorism, telecommunication outages, and statutory amendments. Synapse Soft reserves the perpetual right to modify, suspend, or discontinue any feature, simulator, or term without prior notice.

9. Governing Law & Exclusive Jurisdiction

These Terms and all disputes arising from or connected to the use of this website shall be governed by the laws of the Republic of Turkey. The COURTS AND EXECUTION OFFICES OF ISTANBUL (ÇAĞLAYAN) SHALL HAVE EXCLUSIVE JURISDICTION over all controversies.
